The Receiving Party shall maintain and control the Confidential Information strictly confidentially with the due care of a good manager, and shall not disclose or divulge any of the Confidential Information to any third party other than lawyers, certified accountants, or other equivalent professionals retained by the Receiving Party, or officers or employees of ❶the Receiving Party［or its affiliated company］ who are duly authorized and need access to the Confidential Information to perform its rights or obligations regarding the Project.2.
