This ExclusivE licEnsE AgrEEmEnT(this“Agreement”)isenteredintoasofJanuary　,2020(the“EffectiveDate”)byandbetweencorporATion A,acorporationincorporatedunderthelawsof　　　　　　　withaprincipleplaceofbusinessat　　　　　　　(“Licensor”)andcorporATion B,acorporationincorporatedunderthelawsof　　　　　　　withaprincipleplaceofbusinessat　　　　　　　(“Licensee”).LicensorandLicenseearesometimesreferredtohereinindividuallyasa“Party”andcollectivelyasthe“Parties.”WhErEAs,noW ThErEforE,inconsiderationofthepremisesandmutualagreements1. DEFINITIONScontainedherein,thePartiesherebyagreeasfollows:Terms,whenusedwithinitialcapitalletters,havethemeaningssetforthbeloworattheirfirstusewhenusedinthisAgreement:“Affiliate”meansanycorporationorotherbusinessentitycontrolledby,controlling,orundercommoncontrolwithLicensor,LicenseeorSublicensee.Forthispurpose,“control”meansdirectorindirectbeneficialownershipofatleastfiftypercent(50%)ofthevotingstockorotherownershipinterestofacorporationorotherbusinessentity.“Agreement”hasthemeaningascribedtothistermintheintroductoryparagraphofthisAgreement.“ApplicableLaw”meanstheapplicablelawsandregulations,includinganyrules,guidelines,courtorders,principlesofcommonlaw,codes,treaties,ordinances,orotherrequirementsofGovernmentalAuthorities.242EXCLUSIVE LICENSE AGREEMENTBACKGROUND
