「販売地域」とは、鳥取県を除く、北海道、本州、四国及び九州を含む日本を意味する。737□□38□□39□□40□□41□□42□□43□□売主（名古屋カーパーツ株式会社）は、第三者が本商品の使用又は販売を知的財産権の侵害であると主張してきた場合、買主（マツバ自動車株式会社）に対し、補償を行い、また損害を与えないものとする。権利放棄本契約書に基づいて各当事者に生じる権利放棄は、書面で行わない限り、無効とする。販売店（デンエイ株式会社）は、製造業者（CarNA株式会社）の表明、作為（及び/又は）不作為に関して、責任を負わないものとする。救済その場合、本契約の別の条項又はコモンロー若しくはエクイティで認められた権利又は救済方法のいずれをも失うことなく、購入者は、本契約を直ちに解除できるものとする。本契約に基づく本契約に含まれる条項は、明示にも黙示にも、本契約に基づく権利を第三者に付与することを何ら意図するものではない。本契約に対する本契約は、本契約に対する両当事者及び承認された譲受人の利益のために締結されたものである。補償する、償う地域、販売／許諾地域表明indemnify[ɪ̀ndémnəfàɪ]Seller [Nagoya Car Parts KK] shall indemnify and hold harmless Buyer [Mazba Car Inc.] from any claims by a third party alleging that the use or sale of the Product infringes its intellectual property rights.waiver[wéɪvər]A waiver of any right accruing to either party in this Agreement shall not be effective unless given in writing.territory[térɪtɔ̀ːri]“Territory” shall mean the territory of Japan including Hokkaido, Honshu, Shikoku, and Kyushu, excluding Tottori Prefecture.representation[rə̀prəzentéɪʃən]Distributor [Den-ei Corp.] shall not be liable for any representation, act, and/or omission of Manufacturer [CarNA KK].remedy[rémədi]In such a case, without prejudice to any right or remedy granted to the Purchaser by any other Article hereof or at law or in equity, the Purchaser may immediately terminate this Agreement.hereunder[hìərʌ́ndər]Nothing herein contained, express or implied, shall be intended to confer upon any other person or entity any right hereunder.hereto[hirtú]This Agreement shall be for the sole benefit of the parties hereto, and their permitted assigns.
