8供給者（CarNA株式会社）から販売店（デンエイ株式会社）に対する本製品の仕様の開示及び技術支援に関する通常の費用及び支出は、供給者（CarNA株式会社）が負担するものとする。売主（シンガポールフラワー）が本契約の条項に違反した場合、売主（シンガポールフラワー）は、違反ごとに、損害賠償として1,000万シンガポールドルを買主（ハナ合同会社）に支払わなければならない。供給者（CarNA株式会社）は、別紙Bに定める仕様（及び/又は）基準へ合致していないことから生じた、又は、不一致に関連して生じた、請求、損失及び損害について、責任を負うものとする。善意の両当事者は、本契約の解釈又は履行から生ずる一切の問題又は紛争を解決すべく、善意の話し合いを行うものとする。当事者のいずれかが支払不能、又は倒産手続が開始された場合、他方当事者は、直ちに本契約を解除できる。販売店（デンエイ株式会社）は、本秘密情報の秘密を保持し、また、供給者（CarNA株式会社）の事前の書面による承諾なく本秘密情報を個人及び組織に対して開示してはならない。44□□45□□46□□47□□48□□49□□販売店開示損害請求倒産distributor[dɪstrɪ́bjətər]Distributor [Den-ei Corp.] shall keep the Confidential Information confidential and shall not disclose to any individual or organization any such Confidential Information without the prior written consent of the Supplier [CarNA KK].disclosure[dɪsklóʊʒər]Ordinary costs and expenses for the disclosure of the specifications of the Product and provision of technical assistance from the Supplier [CarNA KK] to the Distributor [Den-ei Corp.] shall be borne by the Supplier [CarNA KK].damage[dǽməʤ]If the Seller [Singapore Flower Pte. Ltd.] has breached any obligation under this Agreement, the Seller [Singapore Flower Pte. Ltd.] shall pay the Buyer [Hana GK] ten million (10,000,000) SGD per breach as liquidated damages.claim[kléɪm]The Supplier [CarNA KK] shall be responsible for any claim, loss, or damage arising out of or in connection with any non-conformity with the specifications and/or such standards as set out in Annex B.bona fide[bóunəfàid]The parties agree that they will enter into bona fide discussions in an attempt to solve any issues or disputes that may arise from the interpretation or performance of this Agreement.bankruptcy[bǽŋkrəpsi]In the event that any proceeding for insolvency or bankruptcy is instituted by or against either party, the other party may immediately terminate this Agreement.
