21本契約当事者は、政府機関から通知を受け取った場合、通知内容の詳細を他方当事者らに対し、速やかに通知するものとする。お客様は、いつでも本契約を解除でき、解除された場合、前払いをしたライセンス料について、比例計算により算出された返金額を受け取る権利を有する。供給者（CarNA株式会社）は、購入者（デンエイ株式会社）の事前の書面による承諾がある場合を除いて、本契約又は本契約に基づく権利の全部又は一部を、第三者に譲渡し、担保に供し、又は義務を引き受けさせてはならない。同順位で本契約に基づくハナ合同会社の日の丸銀行株式会社に対する支払義務は、少なくとも、ハナ合同会社の現在及び将来の担保権のない一般債権者に対する支払いの優先順位と同順位とする。提供する供給者（CarNA株式会社）は、販売店（デンエイ株式会社）の事前の書面による承諾なしに、本製品を、販売店（デンエイ株式会社）以外のチャネルを通して、直接にも間接にも、別紙1に定める許諾地域に提供し、販売し、又は輸出しないものとする。修正、改正買主（ハナ合同会社）の義務の履行は、その時に有効な日本の外国為替及び外国貿易法、同法改正又は新法に従うものとする。129□□130□□131□□132□□133□□134□□速やかに比例計算する担保に入れるpromptly[prɑ́ːmptli]Upon receipt of the notice from the governmental authority, the party hereto shall promptly inform the other parties hereto of the details thereof.pro rata[pròʊréɪṭə]You may at any time terminate this Agreement and, in such a case, shall be entitled to receive a pro rata refund of the unused license fees that have been paid in advance (if any).pledge[pléʤ]The Supplier [CarNA KK] shall not assign, transfer, or pledge the whole or any part of this Agreement or its rights or delegate its obligations under this Agreement to any third party without prior written consent of the Purchaser [Den-ei Corp.].pari passu[pɑ'ri pɑ'ssu;]The obligation of Hana GK to make payment to Hinomaru Bank, Ltd., under this Agreement shall rank at least pari passu as to priority of payment with all of the present and future unsecured indebtedness of Hana GK.offer[ɔ́ːfər]Supplier [CarNA KK] shall not, directly or indirectly, offer, sell, or export the Products to the Territory set out in Annex 1 through any other channel than Distributor [Den-ei Corp.] without prior written consent of Distributor [Den-ei Corp.].modification[mɑ̀ːdəfəkéɪʃən]Performance of the Buyer’s [Hana GK] obligation shall be subject to the Japanese Foreign Exchange and Foreign Trade Act or any statutory modification or re-enactment thereof for the time being in force.
